Terms of Service

The service

Cookiems is HR, payroll, and attendance software for companies in the Philippines. By creating an account or using the service you agree to these terms. If you use Cookiems on behalf of a company, you represent that you are authorized to bind that company, and “you” means the company.

Accounts and roles

  • The person who registers a company becomes its owner and is responsible for the company’s configuration, invited users, and role assignments.
  • You are responsible for keeping credentials secure. Sessions are your responsibility on shared devices.
  • Employee accounts exist under a company; the company controls that data as described in our Privacy Policy.

Plans and payment

Cookiems is offered in tiers (SME, Startup, Enterprise) with per-employee monthly pricing published on our site. Features differ by tier, and optional modules can be enabled per company. We may change pricing with at least 30 days’ notice; changes apply from your next billing cycle. Fees are non-refundable except where required by law.

Payroll disclaimer — read this one

Cookiems computes payroll figures — withholding tax, SSS, PhilHealth, Pag-IBIG, 13th month, overtime and holiday premiums — based on published Philippine tables and the data your company enters. These computations are an aid, not a substitute for professional judgment:

  • Your company remains solely responsible for reviewing payroll output, remitting the correct amounts to government agencies, and complying with labor and tax law.
  • Rates and tables change; we update them diligently but do not warrant that every computation is current or error-free at all times.
  • Garbage in, garbage out: computations depend on the salaries, schedules, and attendance data your company maintains.

Acceptable use

You agree not to:

  • Access another company’s data or attempt to bypass tenancy, role, or plan restrictions
  • Probe, overload, or disrupt the service (rate limits exist and are enforced)
  • Upload unlawful content or malware
  • Use the service to process data of people who are not your employees or contractors without a lawful basis
  • Resell or white-label the service without an Enterprise agreement

Optional integrations

Some features connect to third parties — Google sign-in, and Facebook Messenger attendance if your company enables it. Those services have their own terms, and their availability is outside our control. Linking and unlinking is always your choice.

Availability and support

We aim for high availability but the service is provided “as is” without an uptime guarantee outside an Enterprise agreement. We may perform maintenance, and we may modify or discontinue features with reasonable notice for anything material.

Support scope

Support covers the product itself: bugs, product questions, and account issues raised through our support channels. During beta, we respond on a best-effort basis during Philippine business hours, without guaranteed response or resolution times.

The following are outside the scope of the service and of support, unless separately agreed in writing:

  • Setup, repair, or troubleshooting of your hardware, network, or biometric devices — including on-site or remote technical checking of your biometrics setup. We support the import formats the app documents; the devices themselves are your vendor’s domain.
  • Payroll computations performed outside the app — manual calculations, spreadsheet checking or audits, or re-computing periods that were not generated in Cookiems.
  • Data entry or encoding services, custom reports, and bookkeeping, accounting, or tax filing advice.
  • Integrations or exports beyond the features the app documents.

We may offer some of the above as separate paid professional services, at our discretion and under a separate agreement.

Termination and data deletion

  • You may stop using the service and request deletion at any time.
  • We may suspend or terminate accounts that violate these terms, with notice where practicable.
  • On confirmed deletion we permanently delete company data — hard deletion, as described in the Privacy Policy — subject only to retention that Philippine law requires.

Liability

To the maximum extent permitted by law, our total liability for any claims arising out of the service is limited to the fees your company paid us in the twelve months before the claim. We are not liable for indirect or consequential damages, including government penalties arising from payroll figures your company did not verify.

Governing law

These terms are governed by the laws of the Republic of the Philippines. Disputes go to the competent courts of the Philippines.
